These Terms of Service ("Terms") govern your access to and use of the website japanmedgate.com (the "Site") and the matchmaking service provided through it (the "Service"), operated by JapanMedGate.

JapanMedGate is operated by [The Matcha Company, KK], a company registered in Japan with its registered office at Kanegasaku 341-6, Matsudo City, Chiba Prefecture, Japan ("JapanMedGate", "we", "us", or "our").

By accessing the Site or submitting a brief, you agree to these Terms. If you do not agree, please do not use the Site or Service.

1. The Service

JapanMedGate is a curated matchmaking service. Companies seeking to enter or expand in the Japanese healthcare, pharmaceutical, medical device, diagnostics, or life-science markets submit a brief describing their needs. We review and qualify each brief and, where appropriate, introduce the company to one or more independent consultants or specialists we consider a suitable match.

JapanMedGate is an introducer and facilitator. We do not provide consulting, regulatory, legal, or market-entry services ourselves, and we are not a party to any engagement, contract, or agreement subsequently entered into between a company and a consultant.

2. Submitting a brief

Submitting a brief does not create any binding obligation on you or on us, and does not guarantee that a match will be made. We reserve the right to decline, qualify, or take no further action on any brief at our discretion.

You agree that the information you provide is accurate and that you are authorised to submit it on behalf of your organisation.

3. No professional advice

Nothing on the Site or provided through the Service constitutes legal, regulatory, financial, tax, or professional advice. Any consultant or specialist introduced through the Service acts independently, and you are responsible for conducting your own due diligence before engaging them.

4. Relationships with consultants

Where JapanMedGate introduces you to a consultant or specialist, the terms of any resulting engagement are a matter between you and that consultant, subject to any separate agreement you enter into with JapanMedGate regarding introductions, fees, or related arrangements.

You agree not to use introductions made through the Service to circumvent JapanMedGate's role or any applicable fee arrangements. Specific commercial terms, where they apply, are set out in separate written agreements.

5. Acceptable use

You agree not to:

• Use the Site or Service for any unlawful purpose
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorised access to the Site, its systems, or its data
• Interfere with or disrupt the operation of the Site
• Use the Site to transmit malicious code or harmful material
• Scrape, harvest, or collect data from the Site without our consent

6. Intellectual property

The Site and its content, including text, design, logos, and branding, are owned by or licensed to JapanMedGate and are protected by applicable intellectual property laws. You may not copy, reproduce, or use our content or branding without our prior written permission.

We do not warrant the quality, suitability, or performance of any consultant or specialist introduced through the Service. Any engagement you enter into is at your own risk.

8. Limitation of liability

To the fullest extent permitted by law, JapanMedGate shall not be liable for any indirect, incidental, consequential, or special damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Site or Service or any engagement with a consultant.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

9. Indemnity

You agree to indemnify and hold JapanMedGate harmless from any claims, losses, or expenses arising from your breach of these Terms or your misuse of the Site or Service.

10. Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

11. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest version. Your continued use of the Site after changes constitutes acceptance of the revised Terms.
